The short version
Use MemoBlok kindly and lawfully, and keep your own copy of anything you can't lose. Your data stays yours. Premium renews until you cancel it in the App Store, and if Premium ends, you keep everything you made.
1. This agreement
These terms are an agreement between you and MEMOBLOK, LLC, a California limited liability company (“we”, “us”). They cover the MemoBlok app and this website (together, the “Service”). By using the Service you agree to them. If you don't agree, please don't use it.
2. Your license to use MemoBlok
We give you a personal, non-exclusive, non-transferable, revocable license to use MemoBlok on Apple devices you own or control, as the App Store's Usage Rules allow, including by other accounts in your Family Sharing group where the App Store allows it. Premium itself can't be shared through Family Sharing. We keep all rights in the app, its design, its drawings and its name. Nothing here transfers them to you.
3. Your data is yours
You keep every right in what you enter: your Bloks, entries, notes, tags, places, goals, schedules, reminders and lists. When you use an account, you give us only the permission we need to store it, back it up, sync it to your devices and show it to the people you share a Blok with, who may keep or export copies of what they could see. We don't use your content to train models, and we never sell it. The Privacy Policy explains how it's handled.
4. Accounts
An account is optional and uses Sign in with Apple or Google Sign-In. You must be at least 13 to create an account or share a Blok. If you are under the age of majority where you live, a parent or guardian must agree to these terms for you.
Keep access to your account secure, and tell us at ayen@memoblok.com if you think someone else has used it. You can delete it at any time from Settings › Delete account, where you confirm with Apple or Google, or by following these steps.
5. Sharing a Blok
To share a Blok, you and the people you share with each need an account, and anyone joining needs a display name. You make an invite link and choose whether the people who join with it can add entries (Allow add) or only view them (View only). Changing someone from View only to Allow add can't be undone. Anyone who opens a live link and signs in can join without further approval, so send it only to people you trust. Links expire after 7 days, and a shared Blok holds up to 10 people.
Members see the Blok's name and description, all of its entries, including ones logged before it was shared, with their notes, tags and times, and the display names of the people in it, never where an entry was logged. The owner can remove members at any time, any member can leave, and any member can report another to us. We may block certain words in shared text.
Only share what you have the right to share. We may end a share, or an account, that breaks these terms.
6. Acceptable use
You agree not to:
- use the Service against any law;
- harass, threaten or abuse anyone, or post hateful content, in a shared Blok;
- reverse engineer or decompile the app, except where the law allows it;
- overload or disrupt the Service, or try to reach systems or data that aren't yours; or
- resell, sublicense or commercially redistribute the Service.
7. Premium subscriptions
What it is. MemoBlok Premium is an optional, auto-renewing subscription, billed monthly or yearly through the App Store and charged to your Apple ID. The price is shown in the app, in your currency, before you buy.
Payment and renewal. Your Apple ID is charged when you confirm the purchase, or when a free trial ends. Your subscription renews automatically at the then-current price unless you cancel it at least 24 hours before the end of the current period, and each renewal is charged within the 24 hours before the current period ends.
Free trial. If you're eligible, the yearly plan starts with a 7-day free trial, and the app shows whether you're eligible before you buy. Apple allows one introductory offer per Apple ID. If you don't cancel at least 24 hours before the trial ends, the yearly price is charged when it ends. If you buy a subscription during a free trial, the unused part of the trial ends.
Canceling. Manage or cancel Premium in your App Store subscriptions. Deleting the app or your MemoBlok account does not cancel it.
Refunds. Payments and refunds are handled by Apple under its policies. We can't issue refunds ourselves.
If Premium ends, you keep everything you made. You keep every Blok, entry and schedule, and you can still log into, edit and archive all your Bloks, even past five. People already in your shared Bloks stay, and an invite link you already made works until it expires. Until you renew, your schedules pause and stop adding entries, and they don't fill in the days they missed on their own when you renew. You can't create, or restore from the archive, more than 5 active Bloks. New icons come only from the Doodle pack, though icons you already chose stay. And you can't make new schedules or invite links, or export a spreadsheet or PDF report. Your free Raw Data File stays available.
Restoring. Premium belongs to the Apple ID that bought it. To bring it to a new iPhone, use the same Apple ID and tap Restore purchases in Settings, or Restore purchase on the Premium screen. Your Bloks come with you only if you sign in to your MemoBlok account. If you restore while signed in to a different MemoBlok account, Premium moves to that account.
Price changes follow Apple's rules, including any notice or consent they require.
8. Not a medical device
MemoBlok is a general tracking tool. It is not a medical device, and nothing it shows you, including anything about health, fitness, weight, food, sleep, medication or activity, and any insight, forecast, goal or trend, is medical advice, diagnosis or treatment. Always ask a qualified professional about your health, and never delay their advice because of something you saw in the app.
Reminders and automatic entries can be late, missed or wrong, so don't rely on MemoBlok for medication or anything else time-critical.
9. Availability and changes
We may change, pause or end parts of the Service, and we'll give reasonable notice of a change that takes away something you rely on. MemoBlok is built to work offline, but backup, sync, sharing and purchases depend on services we don't fully control.
10. Keep your own copies
Settings › Raw Data File makes a free copy of your data, as one file, whenever you like. It includes your Bloks, entries, places, goals, schedules, reminders and lists, but not other people's entries in Bloks shared with you. Data kept only on your phone can't be recovered by us, and while we take great care with backup, we can't promise data will never be lost or damaged.
11. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, or that it will be uninterrupted, secure, error-free or accurate. Some places don't allow these exclusions, so parts of this section may not apply to you.
12. Limitation of liability
To the fullest extent the law allows, we aren't liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost data, profits, revenue, goodwill or business, arising from the Service. Our total liability for all claims is limited to the greater of what you paid for Premium in the 12 months before the claim, or US$50.
Nothing here limits liability that the law doesn't let us limit, including for death or personal injury caused by negligence, or for fraud.
13. Indemnity
You agree to cover our reasonable losses and costs from claims caused by your breach of these terms or your unlawful use of the Service.
14. Ending this agreement
You can stop using the Service at any time and delete your account. We may suspend or end an account that breaks these terms, or when the law requires us to. Our rights in the app under section 2, and sections 3, 8, 10 to 13, 15 and 16, continue after this agreement ends.
15. Apple's terms
For the iOS app: this agreement is between you and us, not Apple, and we, not Apple, are responsible for the app and its content. These terms can't give usage rules that conflict with the App Store's terms. We alone are responsible for providing any maintenance and support for the app, as set out in these terms or as the law requires. Apple has no obligation to provide any.
If the app fails to meet an applicable warranty, you may tell Apple, and Apple will refund the purchase price, if any. To the fullest extent the law allows, Apple has no other warranty obligation for the app, and any other claims, losses, liabilities, damages, costs or expenses from a failure to meet a warranty are our responsibility.
Apple is not responsible for any claim about the app, including product liability, failure to meet a legal or regulatory requirement, consumer protection or privacy claims, or claims that the app infringes someone's intellectual property. We are responsible for investigating, defending and settling those.
You confirm you are not in a country under a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on a U.S. Government list of prohibited or restricted parties. You must also follow any third-party terms that apply when you use the app, such as your wireless data plan's.
Apple and its subsidiaries are third-party beneficiaries of these terms and, once you accept them, may enforce them against you.

16. Governing law
These terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in California have exclusive jurisdiction. If you are a consumer, you keep any protections and courts that the law where you live gives you.
17. Changes to these terms
We may update these terms. We'll change the date at the top, and for material changes we will also try to tell you in the app or by email before they take effect. Using the Service after that means you accept the new terms.
